By accessing or using EMPROCE ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to all the terms, you may not access or use the Service. These terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
EMPROCE provides a cloud-based platform that enables users to manage, track, and collaborate on their business operations. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.
3. Eligibility and Registration
You must be at least 18 years old to use the Service. When you create an account, you agree to provide accurate, current, and complete information. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
4. User Obligations
You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You may not:
- Use the Service for any unlawful purpose or in violation of any local, national, or international law
- Upload, post, or transmit any content that is harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems
- Interfere with or disrupt the integrity or performance of the Service
- Use any automated means (bots, scrapers, etc.) to access or collect data from the Service without our prior written permission
- Reverse engineer, decompile, or disassemble any aspect of the Service
5. Intellectual Property
The Service, including its original content, features, functionality, and underlying technology, is owned by EMPROCE and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any part of the Service without our express written consent. You retain all rights to any data or content you submit to the Service.
6. Privacy and Data Protection
Your use of the Service is governed by our Privacy Policy, which explains how we collect, use, and protect your personal data. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.
7. Payment and Billing
Certain features of the Service may require payment of fees. All fees are non-refundable unless otherwise stated. We reserve the right to change our pricing with 30 days' notice. Failure to pay fees may result in suspension or termination of your account. You are responsible for providing accurate billing information and keeping it up to date.
8. Service Level and Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We reserve the right to perform scheduled maintenance, which may temporarily affect availability. We will make reasonable efforts to provide advance notice of planned downtime. EMPROCE shall not be liable for any loss arising from service interruptions.
9. Limitation of Liability
To the maximum extent permitted by law, EMPROCE and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, whether based on warranty, contract, tort, or any other legal theory. Our total liability for any claims under these terms shall not exceed the amount you have paid us in the twelve months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless EMPROCE and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to your violation of these terms, your use of the Service, or your violation of any third-party rights.
11. Termination
We may suspend or terminate your access to the Service at any time, with or without cause or notice, including if you violate these terms. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time by following the account deletion process within the Service. Sections 5, 9, 10, and 14 shall survive any termination.
12. Third-Party Services
The Service may integrate with or contain links to third-party services or websites. We are not responsible for the content, privacy practices, or availability of those third-party services. Your interactions with third-party services are solely between you and the third party.
13. Changes to Terms
We reserve the right to modify or replace these terms at any time. Material changes will be notified via email or through the Service at least 30 days before they take effect. By continuing to access or use the Service after changes become effective, you agree to be bound by the revised terms.
14. Governing Law
These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which EMPROCE is established, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved exclusively in the courts of that jurisdiction.
